Where should a Turkish startup incorporate abroad?
There is no single answer. Delaware is common when US investors are the target; an EU country or the UK for the European market; free-zone companies for the Gulf. Investor expectations, tax, where the team will sit and cost decide together.
Do we have to close the Turkish company?
Usually not. Many startups keep the Turkish company as their development centre under a service or licence agreement with the foreign entity. What matters is that the relationship, IP ownership and pricing between the two companies are written down and consistent.
What is a flip?
A flip is when the founders transfer the Turkish company's shares to a new parent company abroad, so the Turkish company becomes its subsidiary. Investors often ask for it, but valuation, tax and foreign-exchange aspects should be planned with an accountant and legal professionals before the transaction.
Who handles legal work in the target country?
Matters governed by the target country's law are coordinated with local law firms there. We run the Türkiye side, product and technology preparation, and the roadmap connecting both sides; Türkiye-side work that requires a lawyer is carried out by approved independent legal professionals through BEG Hukuk.
